1. Introduction

These Terms of Service ("Terms") govern your access to and use of AutoFact AI's invoice extraction and financial automation platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

AutoFact AI ("we," "our," or "us") reserves the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.

2. Eligibility & Account Registration

2.1 Eligibility

The Service is intended for business use only. You must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Represent a legitimate business entity (B2B use only)
• Not be prohibited from using the Service under applicable law

2.2 Account Registration

To use the Service, you must create an account by providing:

• A valid email address
• Your full name
• Company/workspace information

You are responsible for maintaining the confidentiality of your account and all activities that occur under your account.

3. Account Security (Passwordless Authentication)

3.1 Your Responsibilities

• Maintain secure access to your registered email account
• Do not share magic links with unauthorized parties
• Notify us immediately of any unauthorized account access
• Use strong security practices for your email provider

3.2 Account Security Breaches

You must notify us immediately at security@autofact.app if you suspect any unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account if you fail to maintain email security.

4. Use of the Service

4.1 Permitted Use

You may use the Service to:

• Extract data from invoices and financial documents
• Automate invoice processing workflows
• Generate financial reports and analytics
• Integrate with third-party accounting systems
• Manage supplier and transaction data

4.2 Prohibited Use

You may NOT:

• Use the Service for illegal activities or to process unlawfully obtained data
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to scrape or extract data beyond API limits
• Attempt to gain unauthorized access to our systems or other users' accounts
• Upload malware, viruses, or malicious code
• Resell, sublicense, or redistribute the Service without written authorization
• Use the Service to compete with AutoFact AI or build similar products
• Remove, obscure, or alter any proprietary notices

5. Customer Data & Ownership

5.1 Your Data Ownership

You retain all rights, title, and interest in your Customer Data (invoices, financial documents, extracted information, etc.). AutoFact AI does NOT claim ownership of your data.

5.3 License to Process Your Data

By uploading data to the Service, you grant AutoFact AI a limited, non-exclusive, worldwide license to:

• Process, store, and transmit your data to provide the Service
• Use aggregated, anonymized data for service improvement and analytics
• Perform OCR, AI processing, and data extraction on your documents

This license terminates when you delete your data or close your account, subject to backup retention periods.

5.4 Data Accuracy

You are responsible for the accuracy and legality of data you upload. AutoFact AI is not responsible for errors in source documents or data you provide.

6. Data Protection & Privacy

Our data protection practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

7. Third-Party Services

AutoFact AI is not responsible for:

• The availability, accuracy, or functionality of third-party services
• Third-party terms, policies, or practices
• Data breaches or security incidents at third-party providers

7.3 Service Providers

8. Subscription & Billing

8.1 Subscription Plans

AutoFact AI offers various subscription plans with different features, limits, and pricing. Current pricing is available on our website.

8.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable unless required by law
• Payment is due at the start of each billing cycle
• We accept major credit cards and approved payment methods

8.3 Price Changes

We may change subscription prices with 30 days' notice. Continued use after price changes constitutes acceptance of new pricing.

8.4 Suspension for Non-Payment

If payment fails, we may suspend or terminate your access to the Service. You remain responsible for all outstanding fees.

8.5 Taxes

All fees are exclusive of applicable taxes (VAT, sales tax, etc.). You are responsible for all taxes associated with your purchase.

9. Service Availability

9.1 Uptime & Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency maintenance or security updates
• Third-party service outages
• Force majeure events

9.2 Service Modifications

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

9.3 Beta Features

Beta features are provided "as-is" without warranties. We may discontinue beta features at any time without liability.

10. Intellectual Property

10.1 AutoFact AI's Rights

AutoFact AI and its licensors own all rights, title, and interest in:

• The Service, including software, algorithms, and infrastructure
• AutoFact AI trademarks, logos, and branding
• Documentation, user interfaces, and design elements
• All improvements, modifications, and derivative works

10.2 Your Rights

Subject to these Terms, you have a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription period.

If you provide feedback, suggestions, or ideas about the Service, we may use them without compensation or obligation to you.

11. Termination

11.1 Termination by You

You may terminate your account at any time through the Service settings. Termination does not entitle you to refunds for unused subscription time.

11.2 Termination by AutoFact AI

We may suspend or terminate your account immediately if you:

• Breach these Terms
• Engage in prohibited activities
• Fail to pay fees when due
• Pose a security risk to the Service or other users

11.3 Effect of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• You must cease all use of the Service
• You may export your data within 30 days (subject to backup retention)
• We will delete your data per our retention policies (see Privacy Policy)

• Your violation of applicable laws or regulations
• Your Customer Data or its processing
• Infringement of third-party rights

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AutoFact AI operates, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good-faith negotiation between the parties
2. Mediation, if negotiation fails
3. Arbitration or litigation in the jurisdiction specified above

15.3 Class Action Waiver

To the extent permitted by law, you waive any right to participate in class actions or class arbitrations.

15.4 UAE Mandatory Laws

Notwithstanding the foregoing, if you are located in the United Arab Emirates, nothing in these Terms shall exclude or limit the application of mandatory laws and regulations of the UAE that cannot be contractually waived, including applicable consumer protection, commercial, or data protection laws.

We may update these Terms from time to time. We will notify you of material changes by:

• Sending an email notification to your registered email address
• Displaying a prominent notice in the Service

AutoFact AI is not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.

These Terms are provided in English. In case of translation, the English version shall prevail.
